Forum for Determination of Satisfaction of Standard of Conduct. Provided the Indemnitee notifies the Company of his choice of forum within thirty (30) days after the receipt of a Notice of Denial, the Indemnitee shall be entitled to select one of the following forums to determine whether he met the applicable standard of conduct specified in Section 4.1 and is therefore entitled to indemnification under this Agreement:
