Fraction of a Share. Borrower shall not be required to issue a fraction of a share or scrip representing fractional shares of Borrower Common Stock upon conversion of this Note. If any fraction of a share of Borrower Common Stock would, except for the provisions of this Subsection 2(c), be issuable on the conversion of this Note, Borrower shall pay to Holder a cash payment equal to the value of such fraction based on the Conversion Price.
