Common use of Fractional Common Shares Clause in Contracts

Fractional Common Shares. (a) The Company shall not issue fractions of Warrants or distribute Warrant Certificates which evidence fractional Warrants. Whenever any fractional Warrant would otherwise be required to be issued or distributed, the actual issuance or distribution shall reflect a rounding of such fraction to the nearest whole Warrant (rounded down) with no compensation in lieu thereof. (b) The Company shall not issue fractions of Common Shares upon exercise of Warrants or distribute share certificates which evidence fractional shares. Whenever any fraction of a Common Share would otherwise be required to be issued or distributed, the Company shall, at its election, either pay a cash adjustment in respect of such final fraction in an amount equal to such fraction multiplied by the Exercise Price or round up to the next whole share.
