Common use of Fractional Warrants Clause in Contracts

Fractional Warrants. The Company shall not issue fractional Warrants other than as part of the Units, each of which is comprised of one share of Common Stock and one-third of one Public Warrant, and the Forward Purchase Units, each of which is comprised of one Forward Purchase Share and one-third of one Forward Purchase Warrant, respectively. If, upon the detachment of Public Warrants from the Units or otherwise, a holder of Warrants would be entitled to receive a fractional Warrant, the Company shall round down to the nearest whole number the number of Warrants to be issued to such holder.

Fractional Warrants. The Company shall not issue fractional Warrants other than as part of the Units, each of which is comprised of one share of Common Stock Subunit and one-third quarter of one Public Warrant, and whole Warrant or as part of the Forward Purchase UnitsSubunits, each of which is comprised of one Forward Purchase Share share of Common Stock and one-third quarter of one Forward Purchase whole Warrant, respectively. If, upon the detachment of Public Warrants from the Units Units, Subunits or otherwise, a holder of Warrants would be entitled to receive a fractional Warrant, the Company shall round down to the nearest whole number the number of Warrants to be issued to such holder.
