FRACTIONS OF SHARE. The Company shall not be required to issue fractions of a share or scrip representing fractional shares of Common Stock upon conversion of Convertible Note. If any fraction of a share of Common Stock would, except for the provisions of this Section be issuable on the conversion of any Convertible Notes (or specified portions thereof), the Company shall pay a cash adjustment in respect of such fraction, equal to the value of such fraction based on the then conversion price.
