Freelancer Relationship Sample Clauses

Freelancer Relationship. If and after the Freelancer has agreed to provide Freelancer Services to Subscriber and has executed a Service Contract and any other necessary agreements that Subscriber may require, Subscriber and Freelancer will work directly together. Upwork will not supervise, control, or otherwise be responsible for the performance of the Freelancer Services by Freelancer. If there is a dispute between Subscriber and Freelancer, that dispute is solely between Subscriber and the Freelancer and Upwork will not be responsible or liable to either Subscriber or Freelancer with respect to such dispute. For the avoidance of doubt, Subscriber is responsible for the appropriate classification of each Freelancer. This enterprise Platform account may only be used to engage Freelancers properly classified by Subscriber as independent contractors in accordance with applicable law. Subscriber agrees not to engage Freelancers that it has or should have classified as employees using this enterprise Platform account. If Subscriber classifies (or should classify) a Freelancer as an employee, Subscriber acknowledges and agrees that such engagements may only be supported on Upwork by creating a marketplace account and engaging such Freelancer through the Upwork Payroll solution.

If there is a dispute between Subscriber and Freelancer, that dispute is solely between Subscriber and the Freelancer and Upwork will not be responsible or liable to either Subscriber or Freelancer with respect to such dispute.
