FULFILLMENT EXPRESS Sample Clauses
FULFILLMENT EXPRESS. Notwithstanding anything to the contrary contained herein, permit Fulfillment Express to, directly or indirectly, engage in any material business activities, hold, purchase or sell any inventory or any other material assets, grant any Lien or incur any Debt, other than (a) filing for value-added-tax (“VAT”) refunds for goods purchased by Alliance from European Union-based suppliers (and which VAT refunds shall be deposited, or caused to be deposited, directly into deposit accounts owned by Alliance that are subject to a Control Agreement); (b) employing one individual Person solely in connection with effecting the activities set forth in the immediately preceding clause (a); (c) entering into such transactions as expressly permitted in this Agreement to be performed by Fulfillment Express; (d) performing its obligations under its Organizational Documents; (e) activities related to the payment of its tax liabilities in the ordinary course of business; and (f) other activities incidental to or in furtherance of any of the foregoing.
