Common use of Fulfillment of Covenants Clause in Contracts

Fulfillment of Covenants. Sellers and Parent shall have performed and complied in all material respects with all covenants and obligations set forth in this Agreement to be so performed or complied with by them at or prior to the Closing, and Parent and each Seller shall deliver to Buyers a certificate so stating, dated as of the Closing Date and executed by the President or any Vice President of such Seller or Parent.
