Common use of Full Accelerated Vesting of Equity Clause in Contracts

Full Accelerated Vesting of Equity. Notwithstanding any language in the Award Agreements or any other equity award agreement to the contrary, if Executive has any unvested awards of restricted stock units, options or other equity-based awards with respect to the Company as of the Termination Date, then any such unvested awards will vest immediately as of the Termination Date. In the case of performance-based awards, the number of Shares subject to such accelerated vesting shall be based on a determination by the Board of the degree to which any performance-based vesting conditions will be deemed satisfied.
