FULL AUTHORITY; COMPLIANCE WITH LAWS. Except as set forth on SCHEDULE 2.10, the Company is in compliance in all material respects with all applicable Legal Requirements. Set forth on SCHEDULE 2.10 is a list of any and all material permits, licenses, consents, orders, approvals, franchises, certificates or other authorizations under any applicable Legal Requirement (collectively the "Permits"), issued to the Company in connection with the ownership, operation and maintenance of its business or assets. The Company has obtained and maintained all Permits. Each of the Permits is in full force and effect, and the Company is in compliance in all material respects with all the provisions of such Permits.
