Full Business Efforts. During the term of this Agreement, Executive shall devote his full business time, attention and energies to the performance of his duties hereunder, and shall not be employed by, participate or engage in, or be part of, in any manner, the management or operation of any business enterprise other than that of the Company and its affiliates (as defined below); provided that the foregoing shall not prevent Executive from serving as a director or officer of an educational, religious, social or civic organization or otherwise participating in any of the ventures identified on Exhibit A hereto (or hereafter approved by the Company) so long as such service or participation does not interfere with the performance by Executive of his responsibilities hereunder. For purposes of this Agreement, the term "affiliate" shall mean any corporation, company, partnership, joint venture and/or firm which is controlled by or under common control with the Company.
Full Business Efforts. Executive shall devote his full working time, energy, skill and best efforts to the performance of his duties hereunder, in a manner that complies with the Company’s rules and policies and will faithfully and diligently further the business and interests of the Company. Executive shall not be employed by, participate or engage in or otherwise be a part of the management or operation of any business enterprise other than the Company and its subsidiaries without the prior written consent of the Board of Directors, which may be granted or withheld in the sole discretion of the Board of Directors.
Full Business Efforts. During any period Executive is Chief Executive Officer, he shall devote his full and exclusive business time, attention and energies to the performance of his duties hereunder, and shall not be employed by, participate or engage in, or be part of, in any manner, the management or operation of any business enterprise other than (i) that of the Company and its subsidiaries; and (ii) such as are consented to in writing by the Board of Directors of the Company in advance of any such involvement of Executive after complete disclosure of the terms of such involvement to the Board of Directors; provided, that those activities described in clause (ii) above shall not preclude Executive from devoting substantially all of his time to the performance of his responsibilities hereunder. Notwithstanding the foregoing, it is expressly understood and agreed that Executive may serve as a member of the board of directors of not more than two for profit corporations, provided that any such corporation shall not be a competitor, significant customer or significant supplier of the Company and that Executive keeps the Board of Directors of the Company advised of such board memberships. The foregoing restrictions on Executive's participation in the affairs of a business enterprise other than that of the Company and its subsidiaries shall not be construed as restricting Executive's ability to provide, without compensation, time and advice to charitable organizations so long as such provision of time and advice does not interfere with the performance by Executive of his responsibilities hereunder.
