Common use of Full Exercise of Rights Clause in Contracts

Full Exercise of Rights. If the purchase rights of the Company and the Purchasing Members are exercised with respect to all of the Selling Member’s Units specified in the Proposed Transfer Notice, then the Company and/or the Purchasing Members (whichever the case may be) shall effect the purchase of the Selling Member’s Units; and the Selling Member shall deliver to the Company and/or Purchasing Member such transfer documentation representing the Selling Member’s Units to be purchased as the purchasers may reasonably require. The closing shall then be held no later than ninety (90) days following the Company’s receipt of the Proposed Transfer Notice.
