Common use of Fully Paid Stock Clause in Contracts

Fully Paid Stock. The Company covenants that the shares of Common Stock represented by each and every certificate for its Common Stock to be delivered on the exercise of the purchase rights herein shall, at the time of such delivery, and upon such payment in full of the Exercise Price for each share of Common Stock being exercised, be duly authorized, validly issued and outstanding and fully paid and nonassessable.

Fully Paid Stock. The Company covenants that the shares of Common Stock represented by each and every certificate for its Common Stock to be delivered on the exercise of the purchase rights herein shall, at the time of such delivery, and upon such payment in full of the Exercise Price for each share of Common Stock being exercised, ,be duly authorized, validly issued and outstanding and fully paid and nonassessable.

The Company covenants agrees that the shares of the Common Stock represented by each and every certificate for its Common Stock to be Warrant Shares delivered on the exercise of the purchase rights herein this Warrant shall, at the time of such delivery, and upon such payment in full of the Exercise Price for each share of Common Stock being exercised, be duly authorized, validly issued and outstanding and outstanding, fully paid and nonassessablenon-assessable, and not subject to preemptive rights.

The Company covenants that the shares of the Common Stock represented by each and every certificate for its Common Stock to be Warrant Shares delivered on the exercise of the purchase rights herein this Warrant shall, at the time of such delivery, and upon such payment in full of the Exercise Price for each share of Common Stock being exercised, be duly authorized, validly issued and outstanding and outstanding, fully paid and nonassessablenon-assessable, and not subject to any pre-emptive rights, and the Company will take all such actions as may be necessary to assure that the par value or stated value, if any, per share of the Common Stock is at all times equal to or less than the then Per Share Warrant Price.
