Common use of Fund Disclosure Documents Clause in Contracts

Fund Disclosure Documents. The Sub-Adviser has reviewed and will in the future review, the portions of the following documents that pertain to the Sub-Adviser and the services provided by the Sub-Adviser hereunder: the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents"). The Sub-Adviser represents and warrants that such portions of the Disclosure Documents relating to the Sub-Adviser contain or will contain no untrue statement of any material fact and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.

The Sub-Adviser Subadviser has reviewed reviewed, and will in the future reviewshall review upon reasonable request by Adviser, the portions of the following documents that pertain to the Sub-Adviser and the services provided by the Sub-Adviser hereunder: but no less frequently than on an annual basis, the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement supplement, or sticker to any of the foregoing) ), and advertising and sales material relating or portions thereof that relate to the Fund Subadviser or the Subadviser’s management of the Assets (collectively the "“Disclosure Documents"”). The Sub-Adviser , and represents and warrants that such portions of the information provided by the Subadviser for inclusion in the Disclosure Documents relating to the Sub-Adviser contain or will shall contain no untrue statement of any material fact and do not and will shall not omit any statement of material fact required to be stated therein or necessary to make the statements therein not misleading.
