Common use of Fund Disclosure Documents Clause in Contracts

Fund Disclosure Documents. The Sub-Adviser has reviewed and will in the future review, the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents") and represents and warrants that such Disclosure Documents contain or will contain no untrue statement of any material fact pertaining to the Sub-Adviser and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements pertaining to the Sub-Adviser therein not misleading.

Fund Disclosure Documents. The Sub-Adviser has reviewed and will in the future review, the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents") and represents and warrants that any information or materials provided by the Sub-Adviser which is included in, or used for the preparation of, such Disclosure Documents contain or Documents, will contain no untrue statement of any material fact pertaining to the Sub-Adviser and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements pertaining to the Sub-Adviser Adviser's statements therein not misleading.

Fund Disclosure Documents. The Sub-Adviser has reviewed and will in the future review, the Registration Statement, summary prospectusand any amendments or supplements thereto, prospectus, statement of additional information, periodic the annual or semi-annual reports to shareholders, other reports and schedules filed with the Commission (including and any amendment, supplement or sticker to any marketing material of the foregoing) and advertising and sales material relating to the Fund Portfolio (collectively the "Disclosure Documents") and represents and warrants that with respect to disclosure about the Sub-Adviser, the manner in which the Portfolio is managed or information relating directly or indirectly to the Sub-Adviser, such Disclosure Documents contain or will contain contain, as of the date thereof, no untrue statement of any material fact pertaining to the Sub-Adviser and do not and will does not omit any statement of material fact which was required to be stated therein or necessary to make the statements pertaining to the Sub-Adviser contained therein not misleading.

Fund Disclosure Documents. The Sub-Adviser has reviewed and will in the future review, those portions of the Registration Statement, summary prospectus, prospectus, statement of additional information, periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents") related to Sub-Advisers' services and provided to Sub-Adviser for review and represents and warrants that such Disclosure Documents contain or Sub-Adviser will contain make no untrue statement of any material fact pertaining to the Sub-Adviser and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements pertaining to the Sub-Adviser therein not misleading.

The Sub-Adviser has reviewed and will in the future reviewreview the applicable portions of, the Registration Statement, summary prospectus, prospectus, statement of additional information, schedule of investments in the periodic reports to shareholders, reports and schedules filed with the Commission (including any amendment, supplement or sticker to any of the foregoing) and advertising and sales material relating to the Fund (collectively the "Disclosure Documents") and represents and warrants that such Disclosure Documents contain or will contain no untrue statement of any material fact pertaining to the Sub-Adviser and do not and will not omit any statement of material fact required to be stated therein or necessary to make the statements pertaining to the Sub-Adviser therein not misleading.
