Common use of Funding Cancellation Clause in Contracts

Funding Cancellation. When the Executive Director of the IMPO makes a written determination that funds are not appropriated, will not be appropriated, or otherwise available to support continuation of performance of this Agreement, it shall be canceled as concerns any payments due after the date of non appropriation However, any funding provided prior to the date of such lack of appropriation shall remain in place and shall not be canceled. The IMPO represents and warrants that the Executive Director shall take all reasonable and appropriate steps to make funding available for this Agreement, and shall not unreasonably determine that no funds are available or otherwise determine that funds are not appropriated. A determination by the Executive Director of the IMPO that funds are not appropriated or otherwise available to support continuation of performance shall be final and conclusive.
