The Funding Resources clause defines the sources and mechanisms by which financial support will be provided for a project or agreement. Funding Resources. 9.1. The Parties agree that the commitment of funding and resourcing by British Columbia is essential to the success of this Understanding. The Parties agree to the principle that the costs of implementing this Understanding and any agreements that may be concluded under it should be jointly funded where and when possible.

No current or former employee or contractor of the Company or any Subsidiary, who was or is involved in, or who contributed or contributes to, the creation or development of any Business Intellectual Property or Company Product, performed services for, attended or was employed by or was under a scholarship from any Institution during a period of time during which such employee, non-employee director or officer, consultant or independent contractor was also performing services for the Company or any Subsidiary. Without limiting the generality of the foregoing, no current or former employee, non-employee director or officer, consultant or independent contractor of the Company or any Subsidiary who was involved in, or who contributed to, the creation or development of any Business Intellectual Property or Company Product was employed by or has performed services (either directly or as the employee of a sub-contractor providing services) for, or was subject to any regulations, guidelines and/or directive of, the Israel Defense Forces or the Israel Ministry of Defense during a period of time during which such employee or contractor was also involved in, or contributing to, the creation or development of any Business Intellectual Property or Company Product, or during the twelve-month period immediately prior to his or her employment or engagement with the Company or any Subsidiary, other than reserves duty.
