Common use of FUNDING SHALL NOT ASSIGN Clause in Contracts

FUNDING SHALL NOT ASSIGN. Subject to the right of Funding (or the Security Trustee or a Receiver on its behalf) to sell the Funding Share of the Trust Property following the service of an Intercompany Loan Enforcement Notice (which right is hereby conferred), Funding covenants with the Seller that it shall not, and shall not purport to, sell, assign, transfer, convey, charge, declare a trust over, create any beneficial interest in, or otherwise dispose of the Funding Share in the Trust Property, or any of Funding's rights, title and interest or benefit in any of the Portfolio or the Trust Property to a third party, other than pursuant to the terms of the Transaction Documents (including for the avoidance of doubt, the Funding Deed of Charge).
