Common use of Funds Available Clause in Contracts

Funds Available. The Parent has, and the Purchaser will have at the Effective Time, sufficient funds available to satisfy the aggregate Cash Consideration payable by the Purchaser pursuant to the Arrangement in accordance with the terms of this Agreement and the Plan of Arrangement, and to satisfy the Transaction Expenses and all other obligations payable by the Purchaser pursuant to this Agreement and the Arrangement.

Funds Available. Funds Available. The Parent has, and the Purchaser will have at the Effective Time, sufficient funds available to satisfy the aggregate Cash Consideration payable by the Purchaser pursuant to the Arrangement in accordance with the terms of this Agreement and the Plan of Arrangement, to effect the repayment at maturity of the Debentures in accordance with their terms, and to satisfy the Transaction Expenses and all other obligations payable by the Purchaser pursuant to this Agreement and the Arrangement.

Funds Available. The Parent has, and the Purchaser will have at the Effective Time, sufficient funds available to satisfy consummate the transactions and assume the obligations contemplated by this Agreement, including for the payment of the aggregate Cash Consideration payable by for all of the Purchaser pursuant to the Arrangement in accordance with the terms of this Agreement Company Shares and the Plan payment of Arrangement, and the amounts required to satisfy be paid under Section 2.10 of the Transaction Expenses and all other obligations payable by the Purchaser pursuant to this Agreement and the ArrangementAgreement.
