Common use of FURNISHING INFORMATION; ANNOUNCEMENTS Clause in Contracts

FURNISHING INFORMATION; ANNOUNCEMENTS. The Stockholders and the Company, on the one hand, and SAG and Sub, on the other hand, will, as soon as practical after reasonable request therefor, furnish to the other all information concerning the Stockholders and the Company or SAG and Sub, respectively, required for inclusion in any statement or application made by SAG or Sub or the Company or the Stockholders to any governmental or regulatory body or to any manufacturer or distributor or in connection with obtaining any third party consent in connection with the transactions contemplated by this Agreement. Neither the Stockholders nor the Company, on the one hand, nor SAG or Sub, on the other hand, nor any representative thereof, shall issue any press release or otherwise make any public statement with respect to the transactions contemplated hereby without the prior consent of the other, except as may be required by law. SAG shall reimburse the Company and the Stockholders for any reasonable expenses incurred by such Company and the Stockholders in connection with this Section.

Neither the Stockholders nor or the Company, on the one hand, nor SAG UAG or Sub, on the other hand, nor any representative thereof, shall issue any press release releases or otherwise make any public statement with respect to the transactions contemplated hereby without the prior consent of the other, except as may be required by law. SAG UAG shall reimburse the Company and the Stockholders for any reasonable expenses incurred by such the Company and the Stockholders Stockholder in connection with this Section.

The Stockholders Stockholder and the Company, on the one hand, and SAG Sunbelt and SubBAG, on the other hand, will, as soon as practical after reasonable request therefor, furnish to the other all information concerning the Stockholders Stockholder and the Company or SAG Sunbelt and SubBAG, respectively, required for inclusion in any statement or application made by SAG or Sub Sunbelt and BAG or the Company or the Stockholders Stockholder to any governmental or regulatory body or to any manufacturer or distributor or in connection with obtaining any third party consent in connection with the transactions contemplated by this Agreement. Neither the Stockholders Stockholder nor the Company, on the one hand, nor SAG Sunbelt or SubBAG, on the other hand, nor any representative thereof, thereof shall issue any press release or otherwise make any public statement with respect to the transactions contemplated hereby without the prior written consent of the other, except as may be required by law. SAG Sunbelt shall reimburse the Company and the Stockholders Stockholder for any reasonable expenses expenses, fees and costs incurred by such the Company and the Stockholders Stockholder in connection with this Section.
