Common use of Further Amendments and Supplements Clause in Contracts

Further Amendments and Supplements. If, during such period of time as in the opinion of the Representative or its counsel a Prospectus relating to this financing is required to be delivered under the Act, any event occurs or any event known to the Company relating to or affecting the Company shall occur as a result of which the Prospectus as then amended or supplemented would include an untrue statement of a material fact, or omit to state any material fact necessary to make the statements therein, in light of the circumstances under which they were made not misleading, or if it is necessary at any time after the Effective Date of the Registration Statement to amend or supplement the Prospectus to comply with the Act, the Company will forthwith notify the Representative thereof and prepare and file with the Commission such further amendment to the Registration Statement or supplemental or amended Prospectus as may be required and furnish and deliver to the Representative and to others whose names and addresses are designated by the Representative, all at the cost of the Company, the number of copies of the amended or supplemented Prospectus designated by the Representative, which is so amended or supplemented to not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the Prospectus not misleading in the light of the circumstances when it is delivered to a purchaser or prospective purchaser, and which will comply in all respects with the Act.

If, If during such period of time as in the opinion of the Representative Underwriter or its counsel counsel, a Prospectus relating to this financing offering is required to be delivered under the Act, any event occurs or any event known to the Company relating to or affecting the Company shall occur as a result of which the Prospectus as then amended or supplemented Registration Statement would include an untrue statement of a material fact, or omit to state any material fact necessary to make the statements therein, in light of the circumstances under which they were made made, not misleading, or if it is necessary at any time after the Effective Date effective date of the Registration Statement to amend or supplement the Registration Statement or the Prospectus to comply with the Act, the Company will forthwith notify the Representative Underwriter thereof and prepare and file with the Commission such further amendment to the Registration Statement or supplemental or amended Prospectus as may be required required, and will furnish and deliver to the Representative Underwriter and to others whose names and addresses are designated by the RepresentativeUnderwriter, all at the cost of the Company, the a reasonable number of copies of the amended Registration Statement or amended or supplemented Prospectus designated by the Representativewhich, which is as so amended or supplemented to supplemented, will not contain any untrue statement of a material fact or omit to state any material fact necessary in order to make the Prospectus Statements therein not misleading in the light of the circumstances under which they were made when it is delivered to a purchaser or prospective purchaser, and which will comply in all respects with the Act.
