Further Approvals. Upon the Effective Date of this Agreement, Developer may develop the Land consistent with this Agreement. Any future approvals granted in writing by the City for such development will become a part of the Project Approvals.
Further Approvals. The Seller Parties shall not make any agreement or reach any understanding as a condition for obtaining any consent, authorization, approval, order, license, certificate, or permit required for the consummation of the transactions contemplated by this Agreement without first obtaining the approval of the REIT.
Further Approvals. The Company agrees that, if and to the extent that any further approvals or filings are required to complete this Offering or issue any of the Securities, it will take all steps necessary to make such filings or obtain such approvals immediately upon notice thereof.

In connection with the exercise by the Agent on behalf of the Secured Parties of its rights hereunder, it may be necessary to obtain the prior consent or approval of Governmental Authorities and other persons to a transfer or assignment of Collateral. Each Pledgor hereby agrees, during the continuance of an Event of Default, to execute, deliver and file, and hereby appoints (to the extent permitted under applicable law) the Agent on behalf of the Secured Parties as its attorney, during the continuance of an Event of Default, to execute, deliver and file on each Pledgor's behalf and in each Pledgor's name, all applications, certificates, filings, instruments and other documents (including any application for an assignment or transfer of control or ownership) that may be necessary or appropriate, in the opinion of Agent's counsel, to obtain such consents, waivers or approvals. Each Pledgor further agrees to use commercially reasonable efforts to obtain the foregoing consents, waivers and approvals, including receipt of consents, waivers and approvals under applicable agreements, prior to a Default or Event of Default. Each Pledgor acknowledges that there is no adequate remedy at law for failure by it to comply with the provisions of this Section 4.16 and that such failure would not be adequately compensable in damages, and therefore agrees that this Section 4.16 may be specifically enforced.
Further Approvals. (1) The Owner acknowledges that this Agreement does not predetermine, prejudice or constrain the Township’s jurisdiction with respect to any additional subdivision Agreements, including the Subdivision (Comprehensive Phase 1) Agreement and/or the Subdivision (Comprehensive Phase 2) that is required for the development of the Valley Grove Plan and/or Hamount Plan, including any additional fees/charges and/or levies contained therein; and/or the approval, rejection or imposition of conditions, together with, in relation to any development approvals that are now or that may, in future, be proposed for the Subject Lands. Without limiting the generality of the foregoing, this Agreement does not predetermine, prejudice, xxxxxx or constrain the Town’s jurisdiction with respect to the approval, rejection or imposition of conditions related to final approval of the draft plans of subdivision of the Subject Lands.
Further Approvals. The Company covenants and agrees that, if in respect of any of the adjustments contemplated by this Section 4, any supplemental consent of the Bermuda Monetary Authority is required for the issuance of additional Warrants and the issuance of additional Warrant Shares pursuant to the exercise of this Warrant, the Company will use its best efforts to apply for and obtain the relevant Bermuda Monetary Authority consents in a timely manner.
Further Approvals. In the event the transfer of any Additional Shares at any Additional Closing (as contemplated under this Agreement) requires any approval/s from any governmental authority, the Purchaser hereby confirms and agrees that obtaining such approval/s shall be the sole responsibility and liability of the Purchaser. Seller shall provide reasonable co-operation in this regard to the extent of providing any information / document that is required from the Seller by such governmental authority.
Further Approvals. In the event that further approvals or reviews are necessary for Client to xxxxxx Xxxxxx’x Design for commission, Artist, as part of this Agreement and for no further compensation except for Reimbursable Expenses, shall prepare the necessary materials for and be available to personally present the same to the appropriate body/bodies for approval to proceed with the commission of the Artwork. Client will give Artist no fewer than days notice of the scope of materials needed and time and location of the meeting.

Further Approvals. Notwithstanding any other provision of this Indenture, prior to the Time of Expiry the Company shall not grant, issue or sell (or enter into any agreement to grant, issue or sell), any Common Shares (including the issuance or sale of Common Shares owned or held by or for the account of the Company, but excluding any Excluded Securities granted issued or sold or deemed to have been granted issued or sold) for a consideration per share less than a price equal to the Exercise Price in effect immediately prior to such granting, issuance or sale or deemed granting issuance or sale, without having obtained the written approval of at least one Warrantholder who held at least 25% of the aggregate number of all outstanding Warrants on the date hereof.
