Further Assurance by Grantor; Representations and Covenants. (a) Grantor has the requisite legal capacity and authority to enter into this Assignment and the Note (the “Grantor Documents”). The Grantor Documents have been executed and delivered by Grantor and constitute the legal, valid and binding obligation of Grantor enforceable against Grantor in accordance with their terms.

The execution and delivery of the Grantor Documents and the consummation by Grantor of the transactions contemplated by thereby have been duly authorized by the board of directors of Grantor and no other action is necessary to approve the Grantor Documents and the transactions contemplated thereby. The Grantor Documents have been executed and delivered by Grantor and constitute the legal, valid and binding obligation of Grantor enforceable against Grantor in accordance with their terms.
