Common use of Further Assurances and Co-operation Clause in Contracts

Further Assurances and Co-operation. At any time, and from time to time, after the Effective Date, each party will execute such additional instruments and take such action as may be reasonably requested by the other party to confirm or perfect title to any property transferred hereunder or otherwise to carry out the intent and purposes of this Agreement. At any time, and from time to time, the period commencing on the date hereof and ending on the third (3rd) anniversary of the Effective Date, SMTI agrees to use its best efforts to cause its independent certified public accountants to audit SMTI's financial statements in accordance with generally accepted auditing standards and to furnish such financial statements to Marquee in proper form to be included in a Registration Statement filed under the Securities Act of 1933, as amended, and to furnish all necessary reports and consents as may be required to be included in such Registration Statement or offering memorandum.
