Common use of Further Assurances by the Owner Trustee upon Termination Clause in Contracts

Further Assurances by the Owner Trustee upon Termination. Upon dissolution of this Trust as provided in Section 8.1, the Owner Trustee shall take such action as may be requested by, and at the expense of, the Certificateholders owning a majority of the Percentage Interests to transfer the remaining assets of the Trust to the Certificateholders or the Certificateholders' designee, including the execution of instruments of transfer or assignment with respect to the Underlying Certificates and any of the Operative Agreements to which the Owner Trustee is a party.

Upon dissolution termination of this Trust as provided in Section 8.1the Owner Trust, the Owner Trustee shall take such action as may be requested by, and at the expense of, by the Certificateholders owning a majority of the Percentage Interests to transfer the remaining assets of the Owner Trust to the Certificateholders or the Certificateholders' designeetheir respective designees, including the execution of instruments of transfer or assignment with respect to the Underlying Certificates Mortgage Loans and any of the Operative Agreements to which the Owner Trust or the Owner Trustee is a party.
