Common use of Further Assurances; Cooperation; Notification Clause in Contracts

Further Assurances; Cooperation; Notification. (a) Each party hereto shall, before, at and after each Closing, execute and deliver such instruments and take such other actions as the other party or parties, as the case may be, may reasonably require in order to carry out the intent of this Agreement. (b) At all times from the date hereof until the Second Closing, each party shall promptly notify the other in writing of the occurrence of any event which it reasonably believes will or may result in a failure by such party to satisfy the conditions specified in Sections 6 and 7 hereof.
