Common use of FURTHER ASSURANCES; GUARANTEE Clause in Contracts

FURTHER ASSURANCES; GUARANTEE. (a) From time to time after the Closing Date, at the request of either party hereto and at the expense of the party so requesting, each of the parties hereto shall execute and deliver to such requesting party such documents and take such other action as such requesting party may reasonably request in order to consummate more effectively the transactions contemplated hereby. (b) Each of Seller and Parent hereby guarantees the timely performance by any subsidiary or affiliate of Seller and Parent, respectively, of all obligations of Seller and Buyer Group hereunder, respectively, including without limitation, the execution and performance of their respective obligations under this Agreement and the Ancillary Agreements.
