Further Assurances; Non-Interference. The Buyer and the Seller shall execute, prior to and following the Closing, such documents, and other papers and perform such further acts as may be reasonably required or desirable to carry out the provisions hereof and the transactions contemplated hereby. The Buyer and the Seller shall use their respective commercially reasonable efforts to fulfill or obtain the fulfillment of the conditions to the Closing set forth in Articles VII and VIII. The Seller acknowledges and agrees that, from and after the Closing, the Buyer may operate the Business as the Buyer shall determine in its sole discretion and shall be entitled to change the business plans and practices of the Business as the Buyer determines in its sole discretion.
