Common use of Further Assurances; Post-Closing Cooperation Clause in Contracts

Further Assurances; Post-Closing Cooperation. At any time or from time to time after the Closing, the parties shall execute and deliver to the other party such other documents and instruments, provide such materials and information and take such other actions as the other party may reasonably request to consummate the transactions contemplated by this Agreement and otherwise to cause the other party to fulfill its obligations under this Agreement and the transactions contemplated hereby. Each party agrees to use commercially reasonable efforts to cause the conditions to its obligations to consummate the Merger to be satisfied.

Further Assurances; Post-Closing Cooperation. At any time or from time to time after the Closing, the parties each party shall execute and deliver to the other party parties such other documents and instruments, provide such materials and information and take such other actions as the other party may reasonably request to consummate the transactions contemplated by this Agreement and otherwise to cause the other party to fulfill its obligations under this Agreement and the transactions contemplated hereby. Each party agrees to use commercially reasonable efforts to cause cooperate in causing the conditions to its obligations to consummate the Merger Acquisition to be satisfied.

Further Assurances; Post-Closing Cooperation. At any time or from time to time after the Closing, at the parties request of any Party, the other Parties shall execute and deliver to the other party requesting Party such other documents and instruments, provide such materials and information and take such other actions as the other party requesting Party may reasonably request to consummate the transactions contemplated by this Agreement and otherwise to cause the other party Party or Parties to fulfill its or their respective obligations under this Agreement and the transactions contemplated hereby. Each party agrees to use commercially reasonable efforts to cause the conditions to its obligations to consummate the Merger to be satisfied.

Each party agrees by this Agreement to use commercially reasonable efforts to cause the conditions to its obligations to consummate the Merger to be satisfiedwhich it is a party.

Each party agrees to use commercially reasonable efforts to cause the conditions to its obligations to consummate the Merger to be satisfiedrequesting party.

At any time or from time to time after prior to the Closing, the parties shall execute and deliver to the other party such other documents and instruments, provide such materials and information and take such other actions as the other party may reasonably request to consummate the transactions contemplated by this Agreement and otherwise to cause the other party to fulfill its obligations under this Agreement and the transactions contemplated hereby. Each party agrees to use commercially reasonable efforts to cause the conditions to its and the other party’s obligations to consummate the Merger to be satisfied.

Further Assurances; Post-Closing Cooperation. At any time or from From time to time after the Closing, without additional consideration, each of the parties shall hereto will (or, if appropriate, cause their Affiliates to) execute and deliver to the other party such further instruments and other documents and instruments, provide such materials and information and take such other actions action as the other party may be reasonably request necessary to consummate make effective the transactions contemplated by this Agreement and otherwise to cause the other Transaction Documents. If any party to fulfill this Agreement following the Closing shall have in its obligations possession any asset or right that under this Agreement and should have been delivered to the transactions contemplated hereby. Each other, such party agrees shall promptly deliver such asset or right to use commercially reasonable efforts to cause the conditions to its obligations to consummate the Merger to be satisfiedother.
