Further Assurances; Power of Attorney. During and after Employee’s employment by the Company, Employee agrees to reasonably cooperate with the Company to (i) apply for, obtain, perfect and transfer to the Company the Work Product and Intellectual Property Rights in the Work Product in any jurisdiction in the world; and (ii) maintain, protect and enforce the same, including, without limitation, executing and delivering to the Company any and all applications, oaths, declarations, affidavits, waivers, assignments and other documents and instruments as shall be requested by the Company. Employee hereby irrevocably grants the Company power of attorney to execute and deliver any such documents on Employee’s behalf in Employee’s name and to do all other lawfully permitted acts to transfer the Work Product to the Company and further the transfer, issuance, prosecution and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee does not promptly cooperate with the Company’s request (without limiting the rights the Company shall have in such circumstances by operation of law). The power of attorney is coupled with an interest and shall not be affected by Employee’s subsequent incapacity.

Further Assurances; Power of Attorney. Executive shall promptly disclose such Work Product to Company. During and after EmployeeExecutive’s employment by the Companyemployment, Employee Executive agrees to reasonably cooperate with the Company (at Company’s sole expense) to (ia) apply for, obtain, perfect and transfer to the Company the Work Product and as well as an Intellectual Property Rights Right in the Work Product in any jurisdiction in the world; and (iib) maintain, protect and enforce the same, including, without limitation, executing and delivering to the Company any and all applications, oaths, declarations, affidavits, waivers, assignments and other documents and instruments as shall be requested by the Company. Employee Executive hereby irrevocably grants the Company a power of attorney to execute and deliver any such documents on EmployeeExecutive’s behalf in EmployeeExecutive’s name and to do all other lawfully permitted acts to transfer the Work Product to the Company and further the transfer, issuance, prosecution and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee Executive does not promptly cooperate with the Company’s request (without limiting the rights the Company shall have in such circumstances by operation of law). Employee The Executive hereby irrevocably grants the Company power of attorney to execute and deliver any such of the foregoing documents on Employeethe Executive’s behalf in Employee’s his name and to do all other lawfully permitted acts to transfer the Work Product to the Company and further the transfer, prosecution, issuance, prosecution and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee the Executive does not promptly cooperate with the Company’s request (without limiting the rights the Company shall have in such the circumstances by operation of law). The power of attorney is coupled with an interest and shall not be affected by Employeethe Executive’s subsequent incapacity.

During and after Employee’s employment by his or her employment, the Company, Employee Optionee agrees to reasonably cooperate with the Company to (ia) apply for, obtain, perfect perfect, and transfer to the Company the Work Product as well as any and all Intellectual Property Rights in the Work Product in any jurisdiction in the world; and (iib) maintain, protect and enforce the same, including, without limitation, giving testimony and executing and delivering to the Company any and all applications, oaths, declarations, affidavits, waivers, assignments assignments, and other documents and instruments as shall be requested by the Company. Employee The Optionee hereby irrevocably grants the Company power of attorney to execute and deliver any such documents on Employee’s the Optionee's behalf in Employee’s his or her name and to do all other lawfully permitted acts to transfer the Work Product to the Company and further the transfer, prosecution, issuance, prosecution and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee the Optionee does not promptly cooperate with the Company’s 's request (without limiting the rights the Company shall have in such circumstances by operation of law). The power of attorney is coupled with an interest and shall not be affected by Employee’s the Optionee's subsequent incapacity.

During and after Employee’s employment by his Employment, the Company, Employee agrees to reasonably cooperate with the Company Employer to (i1) apply for, obtain, perfect and transfer to the Company Employer the Work Product and as well as an Intellectual Property Rights Right in the Work Product in any jurisdiction in the world; , and (ii2) maintain, protect and enforce the same, including, without limitation, executing and delivering to the Company Employer any and all applications, oaths, declarations, affidavits, waivers, assignments and other documents and instruments as shall be requested by the CompanyEmployer. The power of attorney is coupled with an interest and shall not be affected by Employee’s the Grantee's subsequent incapacity.

During and after Employee’s employment by the Companyemployment, Employee agrees to reasonably cooperate with the Company GIP to (ia) apply for, obtain, perfect and transfer to the Company GIP the Work Product and as well as any Intellectual Property Rights Right in the Work Product in any jurisdiction in the world; and (iib) maintain, protect and enforce the same, including, without limitation, executing and delivering to the Company GIP any and all applications, oaths, declarations, affidavits, waivers, assignments and other documents and instruments as shall be requested by the CompanyGIP. Employee hereby irrevocably grants the Company GIP power of attorney to execute and deliver any such documents on Employee’s behalf in Employee’s name and to do all other lawfully permitted acts to transfer the Work Product to the Company GIP and further the transfer, issuance, prosecution and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee does not promptly cooperate with the CompanyGIP’s request (without limiting the rights the Company GIP shall have in such circumstances by operation of law). During and after EmployeeConsultant’s employment by service, the Company, Employee Consultant agrees to reasonably cooperate with the Company to (ia) apply for, obtain, perfect perfect, and transfer to the Company the Work Product as well as any and all Intellectual Property Rights in the Work Product in any jurisdiction in the world; and (iib) maintain, protect and enforce the same, including, without limitation, giving testimony and executing and delivering to the Company any and all applications, oaths, declarations, affidavits, waivers, assignments assignments, and other documents and instruments as shall be requested by the Company. Employee The Consultant hereby irrevocably grants the Company power of attorney to execute and deliver any such documents on Employeethe Consultant’s behalf in EmployeeConsultant’s name and to do all other lawfully permitted acts to transfer the Work Product to the Company and further the transfer, prosecution, issuance, prosecution and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee the Consultant does not promptly cooperate with the Company’s request (without limiting the rights the Company shall have in such circumstances by operation of law). The power of attorney is coupled with an interest and shall not be affected by Employeethe Consultant’s subsequent incapacity.

During and after Employee’s employment by the Companyterm of this Agreement, Employee Service Provider agrees to reasonably cooperate with the Company at the Company’s expense to (i) apply for, obtain, perfect perfect, and transfer to the Company the Work Product and Intellectual Property Rights in the Work Product in any jurisdiction in the world; and (ii) maintain, protect protect, and enforce the same, including, without limitation, executing and delivering to the Company any and all applications, oaths, declarations, affidavits, waivers, assignments assignments, and other documents and instruments as shall be requested by the Company. Employee Service Provider hereby irrevocably grants the Company power of attorney to execute and deliver any such documents on Employeethe Service Provider’s behalf in EmployeeService Provider’s name and to do all other lawfully permitted acts to transfer the Work Product to the Company and further the transfer, issuance, prosecution prosecution, and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee Service Provider does not promptly cooperate with the Company’s request (without limiting the rights the Company shall have in such circumstances by operation of law). The power of attorney is coupled with an interest and shall not be affected impacted by EmployeeService Provider’s subsequent incapacity.

Further Assurances; Power of Attorney. During and after Employee’s employment by the Companyhis employment, Employee Xxxxxx agrees to cooperate reasonably cooperate with the Company Employer to (ia) apply for, obtain, perfect perfect, and transfer to the Company Employer the Work Product and Product, as well as an Intellectual Property Rights Right in the Work Product in any jurisdiction in the world; world and (iib) maintain, protect protect, and enforce the same, including, without limitation, executing and delivering to the Company Employer any and all applications, oaths, declarations, affidavits, waivers, assignments assignments, and other documents and instruments as shall be requested by the CompanyEmployer. Employee Xxxxxx hereby irrevocably grants the Company Employer power of attorney to execute and deliver any such documents on Employee’s Xxxxxx'x behalf in Employee’s his name and to do all other lawfully permitted acts to transfer the Work Product to the Company Employer and further the transfer, issuance, prosecution prosecution, and maintenance of all Intellectual Property Rights therein, to the full extent permitted by law, if Employee Xxxxxx does not promptly cooperate with the Company’s Employer's request (without limiting the rights the Company Employer shall have in such circumstances by operation of law). The power of attorney is coupled with an interest and shall not be affected by Employee’s Xxxxxx'x subsequent incapacity.
