Common use of FURTHER ASSURANCES; PUBLIC DISCLOSURE Clause in Contracts

FURTHER ASSURANCES; PUBLIC DISCLOSURE. The Shareholder shall, upon request of Buyer, execute and deliver any additional documents and take such further actions as may reasonably be deemed by Buyer to be necessary or desirable to carry out the provisions hereof and to vest the power to vote such Shareholder's Shares as contemplated by Section 3.3 in Buyer and the other irrevocable proxies described therein at the expense of Buyer. The Shareholder hereby agrees that Buyer may publish and disclose in (i) the Offer Documents and (ii) if approval of Target's Shareholders is required under applicable law, the Proxy Statement (including all documents and schedules filed with the SEC), such Shareholder's identity and ownership of Target Common Stock and the nature of such Shareholder's commitments, arrangements and understandings under this Agreement.
