Common use of Further Assurances Clause in Contracts

Each party shall do and perform, or cause to be done and performed, all such further acts and things, and shall execute and deliver all to any other party such other agreements, certificates, instruments and documents, and shall take such other acts or actions, as the reasonably may be requested by such other party may reasonably request party, in order to carry out the intent and accomplish the purposes of this Agreement and the consummation of effectuate fully the transactions contemplated herebyby this Agreement, promptly upon request therefor.

The Vendor covenants and the consummation of the transactions contemplated herebyagrees to cause its Affiliates to cooperate under this Section 9.4 where applicable.
