Further Co-operation. 1. Parties shall cooperate to promote their mutual interests nationally and internationally.
2. Parties shall continue to jointly advocate for the removal of any Federal Government measures that operate to restrict, impair or distort trade, investment and labour mobility among the Parties.
Further Co-operation. 8.1. CO-OPERATION Each of the Company and Billiton:
(a) recognize the possible mutual advantages to be realized from their co-operation in the conduct of the exploration and development of mineral properties in the Republic of Tunisia by or in any project involving the Company or any Affiliate of the Company; and
(b) agree to co-operate and to consult with each other with respect to exploration and acquisition opportunities coming to the attention of either party in the Republic of Tunisia.
Further Co-operation. If the parties agree to award any additional onshore contract opportunities to the Company, the parties will negotiate in good faith to agree arrangements to provide the Retained Group with remuneration or commission in respect thereof.
Further Co-operation. At the Closing and thereafter as may be necessary, Seller and Buyer shall execute and deliver such other instruments and documents and take such other actions as may be reasonably necessary to evidence and effectuate the transactions contemplated by this Agreement including all post-Closing adjustments.
Further Co-operation. 4.3.1 Each Partner shall, if notified by CEPI, prxxxxly discuss in good faith a potential collaboration with a third party collaborator approved by such Partner and CEPI (a “Trusted Collaborator”). Any such collaboration agreement that a Partner may enter into with a Trusted Collaborator will be consistent with the terms of this Agreement and shall permit CEPI, the other Partner and specified third parties of the Trusted Collaborators, to access any vaccine materials and candidates that may be developed on terms substantially similar to the Project Results under this Agreement. For the avoidance of doubt, nothing in this Agreement shall impose an obligation on a Partner to enter into any collaboration agreement with a Trusted Collaborator in relation to the Project or otherwise.
4.3.2 The Partners acknowledge that CEPI is xxxxing third party collaborators developing innovative technologies, including but not limited to partners improving vaccine thermostability (each an “Innovation Partner”). If CEPI deems that the Project Vaccine may be suitable for collaboration with an Innovation Partner, CEPI shall notify the Partners, and the Partners shall promptly discuss in good faith a potential collaboration with the relevant Innovation Partner. For the avoidance of doubt, nothing in this Agreement shall impose an obligation on the Partners to enter into any collaboration agreement with the Innovation Partner in relation to the Project Vaccine or otherwise.
Further Co-operation. 3.1 RSEQ and GDCh plan to intensify meetings between young members of both societies;
3.2 RSEQ and GDCh will cooperate in the dissemination of chemistry-related information on European issues and matters of relevance to European chemists and therefore plan to publish (in association with other societies) a European Chemistry News Magazine;
3.3 RSEQ and GDCh have agreed to install a reciprocal name lecture Hermanos Elhuyar - Xxxx Xxxxxxxxxxx - Lecture for which a separate agreement will be signed.
3.4 Personal subscription rates/student rates also apply for the European Journals commonly owned by GDCh, RSEQ and other European societies. .................................................... ............... ........................................... ............... Further Co-operation. Vendor and Purchaser covenant with each other to co-operate in all reasonable ways in a prompt and timely fashion in the prosecution of any infringement suit by the Vendor or Purchaser and in any defence of any action, suit or proceeding instituted for the impeachment of or for a declaration of infringement of the Technology. All costs and expenses incurred in investigating, resisting, litigating and settling such a complaint, including payment of any award of damages and/or costs to any third party, shall be borne by the party incurring the expense or cost.
Further Co-operation. Each party, at the request of the other and without additional consideration, shall execute and deliver or shall cause to be executed and delivered from time to time such further documents, and shall take such other actions as tile other party may require to accomplish tile purposes of, and transactions contemplated by, this Agreement.
Further Co-operation. (a) Until Completion, the Sellers agree to use their best endeavours to provide the Purchaser on a timely basis with:
(i) information available to the Sellers which relates to the Group and is necessary for the purpose of preparing responses to any anticipated or actual enquiry or request for information, either within the deadline imposed by any relevant Authority, or as reasonably determined by the Purchaser;
(ii) assistance, where requested by the Purchaser, with the preparation of responses to any anticipated or actual enquiry or request for information, either within the deadline imposed by any relevant Authority, or as reasonably determined by the Purchaser; and
(iii) at the reasonable request of the Purchaser, attendance at (and, if appropriate, any request for) a hearing with any relevant Authority (withdrawing from such hearing as and when matters confidential to the other arise).
(b) In providing the assistance set out in this sub-clause 6.4, the Sellers agree that they will not disclose confidential information directly to the Purchaser and that such confidential information will be shared only between each Party’s external counsel or directly with any relevant Authority.
Further Co-operation. Each Party will throughout the Term co-operate in good faith with the other Party to determine any additional data privacy and/or data security measures to be undertaken in connection with this Agreement, including (i) by reviewing and assessing the impact of new data privacy Laws and entering into amendments to this Agreement or making changes to operations or procedures to accommodate them as needed, (ii) by making reasonably available to the other Party its personnel with appropriate expertise and knowledge of such Party’s privacy and security practices and systems to determine whether different or additional privacy or security measures should be undertaken , (iii) by completing data privacy and security questionnaires and assessments requested by the other Party, and (iv) by entering into additional data protection agreements as needed. If at any time, the Parties elect to expand the GM Promotions beyond the US and Canada, the Parties will jointly assess and determine any necessary amendments to the Agreement and/or additional operational and technical measures that may be required, including entering into a data processing addendum compliant with the EU General Data Protection Regulation (GDPR) and ePrivacy Directive
