Further Conveyances and Assurances. After the Closing, the Seller ----------------------------------- and the Purchaser, each, will, without further cost or expense to, or consideration of any nature from the other, execute and deliver, or cause to be executed and delivered, to the other, such additional documentation and instruments of transfer and conveyance, and will take such other and further actions, as the other may reasonably request as more completely to sell, transfer and assign to and fully vest in the Purchaser ownership of the Series A Preferred Stock and the Series C Preferred Stock and to consummate the transactions contemplated hereby.
