Common use of Further Documentation Clause in Contracts

Further Documentation. The Company will also furnish from time to time the following documents: (a) Each resolution of the Directors authorizing the original issue of Shares of each Fund; (b) Each Registration Statement filed with the Commission, and amendments and orders with respect thereto, in effect with respect to the sale of Shares of the Fund; (c) A certified copy of each amendment to the Articles of Incorporation and the Bylaws of the Company; (d) Certified copies of each resolution of the Directors designating Authorized Persons to give instructions to the Transfer Agent; (e) Certificates as to any change in any officer, director, or Authorized Person of the Company; (f) Such other certificates, documents or opinions as may mutually be deemed necessary or appropriate for the Transfer Agent in the proper performance of its duties.
