Common use of Further Documents or Acts Clause in Contracts

Further Documents or Acts. The parties will execute, deliver, record (where appropriate) and/or perform at Closing and from time to time thereafter, at the request of Buyer, EMI, or the Shareholders, all other documents or acts required to consummate any of the transactions contemplated by this Agreement or otherwise carry out the purposes of this Agreement, including without limitation, any and all instruments or other documents of transfer, conveyance, assignment and assumption as may be reasonably necessary to effect evidence of the transactions contemplated by this Agreement.

Further Documents or Acts. The parties will also execute, deliver, record (where appropriate) and/or perform at Closing and from time to time thereafter, at the request of Buyer, EMI, or the Shareholders, all other documents or acts required to consummate any of the transactions contemplated by this Agreement or otherwise carry out the purposes of this Agreement, including without limitation, any and all instruments or other documents of transfer, conveyance, assignment and assumption as may be reasonably necessary to effect of evidence the transfer of the transactions contemplated by this AgreementAssets and the assumption of the Stated Liabilities.
