Further Duties of the Sub-Adviser. (1) In all matters relating to the performance of this Agreement, the Sub-Adviser shall act in conformity with the Transamerica IDEX Declaration of Trust and By-Laws, as each may be amended or supplemented, and currently effective Registration Statement (as defined below) and with the written instructions and directions of Transamerica IDEX and the Investment Adviser, and shall comply in all material respects with the requirements of the 1940 Act, the Advisers Act, the rules thereunder, and all other applicable laws and regulations. (2) The Sub-Adviser acknowledges that the Fund may engage in certain transactions in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of the Fund, or an affiliated person of such other sub-adviser, concerning transactions for the Fund in securities or other fund assets. The Sub-Adviser shall be limited to providing investment advice with respect to only the discrete portion of the Fund's portfolio as may be determined from time-to-time by the Investment Adviser, and shall not consult with any other sub-adviser as to any other portion of the Fund's portfolio concerning transactions for the Fund in securities or other assets.

Further Duties of the Sub-Adviser. (1) In all matters relating to the performance of this Agreement, the Sub-Adviser shall act in conformity with the Transamerica IDEX ATST Declaration of Trust and By-Laws, as each may be amended or supplemented, and currently effective Registration Statement (as defined below) and with the written instructions and directions of Transamerica IDEX ATST and the Investment Adviser, and shall comply in all material respects with the requirements of the 1940 Act, the Advisers Act, the rules thereunder, and all other applicable laws and regulations. (2) The Sub-Adviser acknowledges that the Fund Portfolio may engage in certain transactions in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of the FundPortfolio, or an affiliated person of such other sub-adviser, concerning transactions for the Fund Portfolio in securities or other fund Portfolio assets. The Sub-Adviser shall be limited to providing investment advice with respect to only the discrete portion of the FundPortfolio's portfolio assets as may be determined from time-to-time by the Investment Adviser, and shall not consult with any other sub-adviser as to any other portion of the FundPortfolio's portfolio assets concerning transactions for the Fund Portfolio in securities or other assets.

(1) In all matters relating to the performance of this Agreement, the Sub-Adviser shall act in conformity comply with the Transamerica IDEX Funds Declaration of Trust and By-Laws, as each may be amended or supplemented, and the currently effective Registration Statement (as defined below) and with the written instructions and directions of Transamerica IDEX Funds and the Investment Adviser, and shall comply in all material respects with the requirements of the 1940 Act, the Advisers Act, the rules thereunder, and all other applicable laws and regulations. (2) The Sub-Adviser acknowledges that the Fund may engage in certain transactions in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of the Fund, or an affiliated person of such other sub-adviser, concerning transactions for the Fund in securities or other fund assets, except that this prohibition shall not apply to Sub-Adviser's consultation with its affiliate, Xxxxxxxx Investment Management North America Ltd., which it intends to engage to manage the portfolio. The Sub-Adviser and its affiliate shall be limited to providing investment advice with respect to only the discrete portion of the Fund's portfolio as may be determined from time-to-time by the Investment Adviser, and shall not consult with any other sub-adviser as to any other portion of the Fund's portfolio concerning transactions for the Fund in securities or other assets.

(2) The Sub-Adviser acknowledges that the Fund Portfolio may engage in certain transactions in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of the FundPortfolio, or an affiliated person of such other sub-adviser, concerning transactions for the Fund Portfolio in securities or other fund Portfolio assets. The Sub-Adviser shall be limited to providing investment advice with respect to only the discrete portion of the Fund's portfolio Portfolio’s assets as may be determined from time-to-time by the Investment Adviser, and shall not consult with any other sub-adviser as to any other portion of the Fund's portfolio Portfolio’s assets concerning transactions for the Fund Portfolio in securities or other assets.

(2) The Sub-Adviser acknowledges that the Fund Portfolios may engage in certain transactions in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of the FundPortfolios, or an affiliated person of such other sub-adviser, concerning transactions for the Fund Portfolios in securities or other fund Portfolio assets. The Sub-Adviser shall be limited to providing investment advice with respect to only the discrete portion of the Fund's portfolio each Portfolio’s assets as may be determined from time-to-time by the Investment Adviser, and shall not consult with any other sub-adviser as to any other portion of the Fund's portfolio Portfolio’s assets concerning transactions for the Fund Portfolios in securities or other assets.

(2) The Sub-Adviser acknowledges that the Fund may engage in certain transactions in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of the Fund, or an affiliated person of such other sub-adviser, concerning transactions for the Fund in securities or other fund assets. The Sub-Adviser shall be limited to providing investment advice with respect to only the discrete portion of the Fund's portfolio as may be determined allocated to the Sub-Adviser from time-to-time by the Investment Adviser, and shall not consult with any other sub-adviser as to any other portion of the Fund's portfolio concerning transactions for the Fund in securities or other assets.

(2) The Sub-Adviser acknowledges that the Fund Portfolio may engage in certain transactions in reliance on exemptions under Rule 10f-3, Rule 12d3-1, Rule 17a-10 and Rule 17e-1 under the 1940 Act. Accordingly, the Sub-Adviser hereby agrees that it will not consult with any other sub-adviser of the FundPortfolio, or an affiliated person of such other sub-adviser, concerning transactions for the Fund Portfolio in securities or other fund Portfolio assets. The Sub-Adviser shall be limited to providing investment advice with respect to only the discrete portion of the FundPortfolio's portfolio assets as may be determined from time-to-time by the Investment Adviser, and shall not consult with any other sub-adviser as to any other portion of the FundPortfolio's portfolio assets concerning transactions for the Fund Portfolio in securities or other assets. (3) The Sub-Adviser shall promptly notify the Investment Adviser or ATST of any claim, demand, or litigation known to it, and instituted by any third party involving the Investment Adviser or ATST, as used in connection with this Agreement.
