Further Notices. The Borrower will forthwith notify the Agent of (i) the incurrence by any Penn West Party of any Subordinated Debt upon incurrence thereof; (ii) any Penn West Party having a corporate or long term debt rating from any rating agency and any future change in any such rating; and (iii) any Material Adverse Effect.
Further Notices. Lessor shall be entitled, following the issuance of a notice under Section 16.1, to issue further notices thereafter in respect of any amounts referred to in Section 16.1 that shall not have been incurred and/or quantified at the date of any previous notice.

Each Claimant hereby agrees to provide Xxxxxx written notice of the following events within three Business Days of their occurrence: (i) the receipt by a Claimant of any payment or other property (other than equity or debt securities of the Company) on account of such Claimant's Debentures, (ii) the commencement by or against any of the Loan Parties of any bankruptcy, insolvency, arrangement, reorganization, receivership or relief proceeding or similar case or proceeding under any federal or state bankruptcy or similar law and (iii) any distribution of all or any of the assets of the Loan Parties upon the dissolution, winding up, total or partial liquidation, arrangement, reorganization, adjustment, protection, relief or composition of such Loan Party or its debts, whether in any bankruptcy, insolvency, arrangement, reorganization, receivership or relief proceeding or similar case or proceeding under any federal or state bankruptcy or similar law and (iv) any assignment for the benefit of creditors or any other marshalling of the assets and liabilities of such Loan Parties or otherwise. The Claimants' obligations under clause (i) of this Section 6.3 shall terminate upon the Contingent Purchase Termination Date. The Claimants' obligations under clauses (ii)-(iv) of this Section 6.3 shall terminate when the Claimants' obligation under Section 5.2(c) expire.
Further Notices. Each of the parties shall notify the other promptly of any event that occurs or circumstance that arises that would make it unable to sell, deliver or take delivery of any Products that are the subject of a forecast or order under Article II. DLM shall be entitled, in such a notice, to request that delivery of Products that it has previously committed to purchase under Section 2.3(a) be delayed for up to one Fiscal Month.
Further Notices. ❏ MULTI-MEMBER - All means of communication, such as notices, demands, and requests made to the Members of the Company, shall be adequately addressed and sent. Notices shall be in writing, and if sent by courier or mail, there should be return receipt with postage prepaid in it addressed as follows: (a) if to the Company, at the principal place in which the Company designates; and (b) if to any Member, to the address stated above, or to such other addresses as may be pointed out by said Member by notice to the Company.
