FURTHER NOVARTIS SHARE ISSUE. 7.1 On the occurrence of any Dilutive Event after the date of this Agreement, the Company shall issue (“Further Issue”) to Novartis, credited as fully paid such number of Ordinary Shares as is necessary to ensure that, having regard to the operation of articles 66.3 and 66.4 of the New Articles, immediately following such Further Issue, the shares held by Novartis in the Company represent no more than 19.5 % of the total economic and voting rights in the Company, subject to clause 7.3 below.
