Further Rights. Collateral Agent has been appointed as the Collateral Agent hereunder pursuant to the Indenture and shall be entitled to the benefits of the Indenture Documents. Notwithstanding anything contained herein to the contrary, Collateral Agent may employ agents, trustees, or attorneys-in-fact and may vest any of them with any property (including, without limitation, any Collateral pledged hereunder), title, right or power deemed necessary for the purposes of such appointment. Notwithstanding anything to the contrary herein, the following provisions shall govern the Collateral Agent’s rights, powers, obligations and duties under this Agreement: (i) The Collateral Agent shall have no duty to act, consent or request any action of the Grantors or any other Person in connection with this Agreement (including all schedules and exhibits attached hereto) unless the Collateral Agent shall have received written direction from the Trustee or the requisite Holders in accordance with the Indenture. (ii) The Collateral Agent’s sole duty with respect to the custody, safekeeping and physical preservation of the Collateral in its possession, under Section 9-207 of the New York UCC or otherwise, shall be to deal with it in the same manner as the Collateral Agent deals with similar property for its own account. Neither any Secured Party nor any of its officers, directors, employees or agents shall be liable to the Grantors for failure to demand, collect or realize upon any of the Collateral or for any delay in doing so or shall be under any obligation to sell or otherwise dispose of any Collateral upon the request of any Grantor or any other Person or to take any other action whatsoever with regard to the Collateral or any part thereof. The powers conferred on the Collateral Agent hereunder are solely to protect the interests of the Secured Parties in the Collateral and shall not impose any duty upon any of them to exercise any such powers. The Collateral Agent shall be accountable only for amounts that it actually receives as a result of the exercise of such powers, and neither it nor any of its officers, directors, employees or agents shall be responsible to any Grantor for any act or failure to act hereunder, except for its own gross negligence or willful misconduct. Further Rights. (a) A teacher whose employment has been terminated or whose assignment has been reduced due to surplus procedures shall have the right of recall, in order of seniority, to positions for which the teacher is qualified for five years if the teacher has completed the probationary period and for two years if the teacher has not completed the probationary period. The teacher shall be included in the teacher’s former school’s complement for the purpose of staff allocation in accordance with Article 17.02 (a) each year. A teacher who is recalled shall have all previously accrued benefits reinstated. (b) Teachers must notify the Board and the Bargaining Unit President by registered letter no later than March 1 of each year that they wish to remain on the recall list. Failure on the part of the teacher to take this action will relieve the Board from any further obligation to recall the teacher. (c) Teachers on the recall list shall be responsible for informing the Board of any new areas of qualification and of any change of address. (d) The Board shall notify teachers being recalled in writing by registered mail and such teachers shall notify the Board of acceptance no later than 14 days after receipt of recall notice. A teacher, unable to notify the Board of acceptance within 14 days due to injury, illness or other reason deemed acceptable by the Director of Education or designate shall not lose further recall rights. (e) Each teacher whose employment has been terminated or whose timetable has been reduced will be given consideration for occasional teaching positions, Adult and Continuing Education, or opportunities as such become available provided the teacher indicates a willingness in writing to be available prior to each school year. (f) In the selection of staff for Adult and Continuing Education vacancies, teachers who are declared redundant shall be offered such vacancies in accordance with Article 26.06 (d) (2).
Further Rights exercise any of the other rights to which the Holder is entitled as holder of this Debenture, including the right to take proceedings in any court of competent jurisdiction for the appointment of a receiver or manager, for the sale of the assets of the Company or any part thereof or for foreclosure;
Further Rights. 11.1 You have the right to invite other people to live with you provided that: 11.1.1 You obtain the written permission of the Group; & 11.1.2 Not more than the number of people stated at page 1 of this agreement will be living at the Property; & 11.1.3 No payment is involved. 11.2 You have the right to be consulted before the Group makes any changes in matters of housing management or maintenance which may have a substantial effect on you. 11.3 You have a right to information from the Group about the terms of this tenancy, and about the Group’s repairing obligations, its policies and procedures on tenant consultation, housing allocation and transfers, and its performance as a landlord. 11.4 You have the right to complain to the Group about any matters arising from this tenancy. You should ask us for a copy of the leaflet “Making a Complaint” for details and the Group agrees to provide a copy of such leaflet to the Tenant at the start of the Tenancy and from time upon request.
Further Rights. The registration rights provided by this Section 15 may be exercised by Holder either prior or subsequent to its exercise of this Warrant. The piggyback registration rights provided by this Section 15 shall be pari passu to any other piggyback registration rights granted by the Company to other holders of its outstanding securities.

You should ask us for a copy of the leaflet “Making a Complaint” for details and the Landlord agrees to provide a copy of such leaflet to the Tenant at the start of the Tenancy and from time upon request.

Further Rights. If between the date of the Agreement and the effective time the outstanding shares of the common stock of Shearson Home Loans have been changed into a different number of shares or a different class, reason of any stock dividend, subdivision, reclassification, re-capital split, conversion, consolidation, combination or exchange of shares or similar transaction, appropriate adjustments to reflect any such action shall be made to the subject agreement and the employee shall be entitled to an proportionate adjustment of shares being held.
Further Rights. Nothing in this Agreement shall preclude DevFactory from using in any manner or for any purpose it deems necessary, the know-how, techniques, or procedures acquired or used by DevFactory in the performance of Services hereunder.
