FUTURE AMENDMENTS TO CHARTER AND BYLAWS. Each Fund shall promptly provide the Agent copies of all material amendments to its Articles of Incorporation, Declaration of Trust, or Bylaws made after the Execution Date, and such amendment shall be certified by such Fund’s Secretary or Assistant Secretary. No such material amendments shall modify or increase the Agent’s responsibilities without the Agent’s prior written consent executed by an officer of the Agent.
