Common use of Gain or Loss in Liquidation Clause in Contracts

Gain or Loss in Liquidation. To the extent the Partners' Capital Account balances are not in the Proper Ratio, gain or loss on the sale or distribution of assets under Section 11.11. shall be allocated, to the maximum extent possible, so as to cause the Partners' Capital Account balances to be in the Proper Ratio.
