Common use of Gaming Authority Approval Clause in Contracts

Gaming Authority Approval. All licenses, permits, registrations, authorizations, consents, waivers, orders, findings of suitability or other approvals required to be obtained from, and all filings, notices or declarations required to be made with, any Gaming Authority to permit Acq Corp to consummate the Merger shall have been obtained or made, as applicable.

All licenses, permits, registrations, authorizations, consents, waivers, orders, findings of suitability or other approvals required to be obtained from, and all filings, notices or declarations required to be made with, any Gaming Authority to permit Acq Corp to consummate the Merger and to permit it and each of its Subsidiaries to conduct their businesses in the jurisdictions regulated by such Gaming Authorities after the Effective Time in the same manner as conducted by Target and its Subsidiaries prior to the Effective Time shall have been obtained or made, as applicable.
