Gandi's commitments. Gandi is a technical intermediary on the Internet that provides a wide range of services, according to the conditions detailed in each of the Contracts the pertain to each of the services offered, in addition to the present Gandi's General Service Conditions. For whatever service provided, Gandi commits to: • providing You with an automated, reliable, and rapid way to subscribe to all services provided by Gandi, in an autonomous and secure manner via Our website and according to the contractual process outlined in the present Contract and reiterated on Our interface which guides You throughout Your ordering process, • providing You with a specific web interface that is accessible by the Gandi handle and password that are associated to You (Your Access Codes) that will let Your manage Your Gandi Account in an autonomous and secure way (update Your contact information, view Your invoices, check Your orders in progress, etc.) as well as the services or options that are associated with it and to modify, cancel, renew in full in an autonomy if You so desire, • make available to You, at no extra cost, a Gandi Prepaid Account, so that You can easily pay Gandi for Your services, within the conditions stipulated in Annex 1, "Gandi's Prepaid Account", • provide You with, notably via Our website, all the information pertaining to the services and options provided, to their technical characteristics and limitations, and to their use, • allow You, via Your secure management and administration interface, to access the Contracts that You have accepted and to provide You with the possibility of accepting new versions of them if needed, • processing Your requests as soon as Your payment has been received, and no later than seven (7) business days thereafter, and allow You to follow their progress via Your secure management and administration interface, • providing You with online assistance via Our website and technical support, at the address displayed on Our website, • provide You with a dedicated place for discussion with other customers concerning the technical use of each of Our services, • allow You to cancel Our services, at any time during the course of the Contract, unless otherwise stated within the Contract of a particular service, • facilitate the fight against the deviant use of the Internet and to assure the adherence to Our Ethical code, which You have agreed to abide by. Gandi's commitments. 5.1. Gandi undertakes to:  Allow You to use the GandiMail Service via Gandi Webmail access;  Allow You to use the GandiMail Service via a messaging software chosen by the GandiMail User (for example, Outlook, Thunderbird...);  Implement the necessary means to ensure the security of Our services by providing anti-virus and anti-spam integrated by default in the GandiMail Service (not downloadable or modifiable);  Not to broadcast advertising, either for Gandi or for the benefit of a third party, on Xxxxx's Webmail interface;  Allow You to monitor the Quota of disk space used so that You are able, if necessary, to avoid any unavailability of Your mailbox and to comply with the technical limitations of the GandiMail Service.
Gandi's commitments. You benefit from the tools and privileges which constitute Our "Reseller/large-portfolio customer" services upon the creation of Your Gandi Account (Section 2 hereafter) and upon Your adherence to to Our Contracts, which define the basis of Our obligations toward the owners of domain names.

  • STAFF COMMITMENT 23. If this Settlement Agreement is accepted by the Hearing Panel, Staff will not initiate any proceeding under the By-laws of the MFDA against the Respondent in respect of the facts set out in Part IV and the contraventions described in Part V of this Settlement Agreement, subject to the provisions of Part IX below. Nothing in this Settlement Agreement precludes Staff from investigating or initiating proceedings in respect of any facts and contraventions that are not set out in Parts IV and V of this Settlement Agreement or in respect of conduct that occurred outside the specified date ranges of the facts and contraventions set out in Parts IV and V, whether known or unknown at the time of settlement. Furthermore, nothing in this Settlement Agreement shall relieve the Respondent from fulfilling any continuing regulatory obligations.

  • Specific Commitments Investments in respect of a particular undertaking of one of the Contracting Parties with respect to nationals and companies of the other Contracting Party shall be governed, without prejudice to the provisions of this Agreement, the terms of that commitment to the extent that it is more favourable provisions than those laid down in this Agreement.

  • Commitments Subject to the terms and conditions set forth herein:

  • MUTUAL COMMITMENTS ‌ 18 The parties to this Contract are mutually committed to the development of an efficient, cost 19 effective, integrated, person-centered, age specific recovery and resilience model approach to 20 the delivery of quality community behavioral health services. To that end, the parties are 21 mutually committed to maximizing the availability of resources to provide needed behavioral 22 health services in the Service Area, maximizing the portion of those resources used for the 23 provision of direct services and minimizing duplication of effort.

  • Additional Commitments The Parties may negotiate commitments with respect to measures affecting trade in services not subject to scheduling under Article 106 (National Treatment) or Article 107 (Market Access), including those regarding qualifications, standards or licensing matters. Such commitments shall be inscribed in a Party's Schedule.

  • Revolving Loans The Borrower shall repay to the Lenders on the Maturity Date the aggregate principal amount of all Revolving Loans outstanding on such date.

  • DVBE Commitment This section is applicable if Contractor received a disabled veteran business enterprise (“DVBE”) incentive in connection with this Agreement. Contractor’s failure to meet the DVBE commitment set forth in its bid or proposal constitutes a breach of the Agreement. If Contractor used DVBE subcontractor(s) in connection with this Agreement: (i) Contractor must use the DVBE subcontractors identified in its bid or proposal, unless the JBE approves in writing replacement by another DVBE subcontractor in accordance with the terms of this Agreement; and (ii) Contractor must complete and return to the JBE a post-contract certification form promptly upon completion of the awarded contract, and by no later than the date of submission of Contractor’s final invoice to the JBE. (The post-contract certification form is located at: xxxxx://xxx.xxxxxx.xx.xxx/documents/JBCM-Post- Contract-Certification-Form.docx) If the Contractor fails to do so, the JBE will withhold $10,000 from the final payment, or withhold the full payment if it is less than $10,000, until the Contractor submits a complete and accurate post-contract certification form. The JBE shall allow the Contractor to cure the deficiency after written notice of the Contractor’s failure to complete and submit an accurate post- contract certification form. Notwithstanding the foregoing and any other law, if after at least 15 calendar days, but no more than 30 calendar days, from the date of the written notice the Contractor refuses to comply with these certification requirements, the JBE shall permanently deduct $10,000 from the final payment, or the full payment if less than $10,000. The post-contract certification form shall include: (1) the total amount of money Contractor received under the Agreement, (2) the total amount of money and the percentage of work that Contractor committed to provide to each DVBE subcontractor; (3) the name and address of each DVBE subcontractor to which Contractor subcontracted work in connection with the Agreement; (4) the amount of money each DVBE subcontractor actually received from Contractor in connection with the Agreement, and the corresponding percentage this payment comprises of the total amount of money Contractor received under the Agreement; and (5) that all payments under the Agreement have been made to the applicable DVBE subcontractors. Upon request by the JBE, Contractor shall provide proof of payment for the work. A person or entity that knowingly provides false information shall be subject to a civil penalty for each violation. Contractor will comply with all rules, regulations, ordinances and statutes that govern the DVBE program, including, without limitation, Military and Veterans Code section 999.5.

  • No Commitment None of the provisions of this Agreement shall be deemed or construed to constitute or imply any commitment or obligation on the part of the Lender to make any future loans or other extensions of credit or financial accommodations to the Borrower.

  • COMMITMENT OF THE PARTIES By signing9 this document, the teaching staff member, the sending institution/enterprise and the receiving institution confirm that they approve the proposed mobility agreement. The sending higher education institution supports the staff mobility as part of its modernisation and internationalisation strategy and will recognise it as a component in any evaluation or assessment of the teaching staff member. The teaching staff member will share his/her experience, in particular its impact on his/her professional development and on the sending higher education institution, as a source of inspiration to others. The teaching staff member and the beneficiary institution commit to the requirements set out in the grant agreement signed between them. The teaching staff member and the receiving institution will communicate to the sending institution/enterprise any problems or changes regarding the proposed mobility programme or mobility period.   • Other Commitments (1) If provisions in the legislation of either Contracting Party or rules of international law entitle investments by investors of the other Contracting Party to treatment more favourable than is provided for by this Agreement, such provisions shall to the extent that they are more favourable prevail over this Agreement.
