Common use of Gas Imbalances, Prepayments Clause in Contracts

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

Gas Imbalances, Prepayments. As of the date hereof, except Except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c)Reserve Report Certificate, on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its and the Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from Hydrocarbons produced from the Oil and Gas Properties of the Borrower and the Restricted Subsidiaries at some future time without then or thereafter receiving full payment therefor.

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 7.20 or on the most recent certificate delivered pursuant to Section 8.12(c2.07(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries to deliver, in the aggregate, two three percent (23%) or more of the monthly production from Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

Gas Imbalances, Prepayments. As of the date hereof, except Except as set forth on Schedule 7.18 7.20 with respect to the Closing Date or on the most recent certificate delivered pursuant to Section 8.12(c2.07(d), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries to deliver, in the aggregate, two three percent (23%) or more of the monthly production from Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 7.19 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower Parent Guarantor or any of its Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding three and one-half percent (3.5%) of monthly production in the aggregate.

As of the date hereof, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries Debtors to deliver, in the aggregate, two percent (2%) or more of the monthly production from Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

As of the date hereof, except Except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c8.01(i), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the their Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding $500,000 in the aggregate.

As of the date hereof, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding two (2.0) bof of gas (on an mcf equivalent basis) in the aggregate.

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 7.19 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Material Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding three million mcf of gas (on an mcf equivalent basis) in the aggregate.

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries Credit Party to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding 50 mmcf equivalent in the aggregate.

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section ‎Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its the Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding 500 mmcf equivalent in the aggregate.

As of the date hereof, except as set forth on Schedule 7.18 7.19 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding one-half million mcf of gas (on an mcf equivalent basis) in the aggregate.

As of the date hereofAmendment Effective Date, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c8.12(d), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its the Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding 500 mmcf equivalent in the aggregate.

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 5.21 or on the most recent certificate delivered pursuant to Section 8.12(c6.02(h), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties of Borrower and its Subsidiaries at some future time without then or thereafter receiving full payment therefortherefor which, in the aggregate, are material.

Gas Imbalances, Prepayments. As of the date hereof, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding two (2.0) bcf of gas (on an mcf equivalent basis) in the aggregate.

As of the date hereof, except Except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c)8.19, on a net basis basis, there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any (including Production Payments and Reserve Sales) exceeding 2.0% of its Subsidiaries to deliver, Hydrocarbon volumes (stated on a gas equivalent basis) in the aggregate, two percent (2%) with respect to the Credit Parties’ Oil and Gas Properties that would require any Credit Party to deliver Hydrocarbons either generally or more of the monthly production from Hydrocarbons produced from the their Oil and Gas Properties at some future time without then or promptly thereafter receiving full payment therefor.

As of the date hereofClosing Date, except as set forth on Schedule 7.18 4.18 or on the most recent certificate delivered pursuant to Section 8.12(c5.12(d), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its the Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding 500 mmcf equivalent in the aggregate.

As of the date hereof, except Except as set forth on Schedule 7.18 3.23 or on the most recent certificate delivered pursuant to Section 8.12(c5.11(c), on a net basis there are no gas imbalances, take or pay or other prepayments which (including pursuant to an Advance Payment Contract) that would require the any Borrower or any of its Subsidiaries Subsidiary to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

As of the date hereof, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its the Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

Gas Imbalances, Prepayments. As of the date hereofDecember 31, 2004, except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c)8.19, on a net basis there are no gas imbalances, take or pay or other prepayments which that would require the Borrower or any of its Subsidiaries Affiliates to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor. Except as set forth on Schedule 8.19, no material gas imbalances exist as of December 31, 2004 with respect to any of the Borrower’s Oil and Gas Properties.

Gas Imbalances, Prepayments. As of the date hereof, except Except as set forth on Schedule 7.18 4.22 or on the most recent certificate delivered pursuant to Section 8.12(c5.13(c), to the Borrower’s knowledge, on a net basis there are no gas imbalances, take or pay or other prepayments with respect to the Loan Parties’ proved Oil and Gas Properties which would require the Borrower or any of its Subsidiaries Loan Parties to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the their proved Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding, in the aggregate, $300,000 in any calendar year.

Gas Imbalances, Prepayments. As of the date hereof, except Except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c8.12(b), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its the Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

Gas Imbalances, Prepayments. As of the date hereofClosing Date, except as set forth on Schedule 7.18 4.18 or on the most recent certificate delivered pursuant to Section 8.12(c5.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower Loan Parties or any of its their Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding 500 mmcf equivalent in the aggregate.

Gas Imbalances, Prepayments. As of the date hereof, except Except as set forth on Schedule 7.18 7.19 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding two bcf of gas (on an mcf equivalent basis) in the aggregate.

Gas Imbalances, Prepayments. As of the date hereof, except --------------------------- as set forth on Schedule 7.18 7.19 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Material Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding one and one-half million mcf of gas (on an mcf equivalent basis) in the aggregate.

As of the date hereof, except as set forth on Schedule 7.18 7.19 or on the most recent certificate delivered pursuant to Section 8.12(c8.12(b), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower Borrowers or any of its their Domestic Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding 100,000 Mcf of gas (on an Mcf equivalent basis) in the aggregate.

Gas Imbalances, Prepayments. As of the date hereofEffective Date, except as set forth on Schedule 7.18 7.17 or on the most recent certificate delivered pursuant to Section 8.12(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower Borrowers or any of its Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the Oil and Gas Properties of the Borrowers and the Guarantor at some future time without then or thereafter receiving full payment therefortherefor exceeding 50 mmcf equivalent in the aggregate.

As of the date hereof, except as set forth on Schedule 7.18 7.20 or on the most recent certificate delivered pursuant to Section 8.12(c2.07(h), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Subsidiaries to deliver, in the aggregate, two three percent (23%) or more of the monthly production from Hydrocarbons produced from the Oil and Gas Properties at some future time without then or thereafter receiving full payment therefor.

Gas Imbalances, Prepayments. As of the date hereof, except Except as set forth on Schedule 7.18 or on the most recent certificate delivered pursuant to Section 8.12(c8.11(c), on a net basis there are no gas imbalances, take or pay or other prepayments which would require the Borrower or any of its Restricted Subsidiaries to deliver, in the aggregate, two percent (2%) or more of the monthly production from deliver Hydrocarbons produced from the their Oil and Gas Properties at some future time without then or thereafter receiving full payment therefortherefor exceeding a fair market value of $10,000,000 in the aggregate.
