Gatherer Service Commitment Clause Samples
The Gatherer Service Commitment clause defines the obligations and standards that the service provider (the Gatherer) must meet in delivering their services. Typically, this clause outlines the expected level of performance, timelines, and quality benchmarks that the Gatherer is required to uphold, such as timely collection, accurate reporting, or adherence to industry standards. Its core practical function is to ensure that the service recipient can rely on a consistent and agreed-upon level of service, thereby reducing ambiguity and setting clear expectations for both parties.
Gatherer Service Commitment. Gatherer shall conduct all of its activities and operations under this Agreement in a commercially reasonable and timely manner. Gatherer shall design, construct, own, operate, maintain, and repair or replace, or cause to be designed, constructed, operated, maintained, and repaired or replaced, the Gathering System in a good and workmanlike manner and in accordance with applicable law and shall employ commercially reasonable practices and procedures in the design, construction, operation and maintenance thereof. Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer:
(a) design, own, operate, maintain, repair, replace and expand the Gathering System (including expanding the Gathering System in accordance with Section 3.3) or cause the same to be performed;
(b) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Dedicated Gas;
(c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Gas delivered by or for the account of Producer from the area described on Exhibit I;
(d) compress and/or dehydrate Gas received from or on behalf of Producer into the Gathering System at the System Compressor Stations and Incremental Compression System Compressor Station in accordance with Section 3.5 or High Pressure Receipt Point or as otherwise required to deliver Dedicated Gas to the applicable Delivery Point;
(e) deliver, or cause to be delivered, to or for the account of Producer, at the nominated Delivery Point, Delivery Point Gas allocated to Producer up to the MRDO;
(f) recover Pipeline Drip from the Gathering System and remit net proceeds pro rata to Producer in accordance with Section 6.4 or deliver Pipeline Drip to each Pipeline Drip Delivery Point;
(g) to construct, install and maintain all necessary facilities on the Gathering System necessary for Gatherer to comply with Article 8 as to each System AMI; and
(h) Buyback metering service as detailed in Section 3.10.
Gatherer Service Commitment. Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Producer:
(a) construct and expand the Gathering System to connect to the Gathering System each Well that is producing or will produce Dedicated Gas that (i) has been completed as of the Effective Date, (ii) is included in the Initial Development Plan, or (iii) is within 5 miles of the Gathering System (the “Five Mile Perimeter”) as it exists as of the date of the Connection Notice, subject in each case to the procedures set forth in Section 3.3 (such ▇▇▇▇▇, and such other ▇▇▇▇▇ that become Required Connection ▇▇▇▇▇ in accordance with Section 3.3, “Required Connection ▇▇▇▇▇”);
(b) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Firm Capacity Gas tendered by or on behalf of Producer;
(c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Interruptible Gas, to the extent not curtailed in accordance with Section 7.3(a);
(d) compress and dehydrate Gas received from or on behalf of Producer into the Gathering System at the System Compressor Stations in accordance with Section 3.5;
(e) deliver, or cause to be delivered, to or for the account of Producer, at the nominated Delivery Point, Delivery Point Gas allocated to Producer; and
(f) recover Pipeline Drip from the Gathering System and remit net proceeds pro rata to Producer in accordance with Section 6.3.
Gatherer Service Commitment. Subject to and in accordance with the terms and conditions of this Agreement, Gatherer commits to providing the following services (collectively, the “Services”) to Shipper:
(a) receive, or cause to be received, into the Gathering System, from or for the account of Shipper, at each Receipt Point, all Dedicated Production tendered by Shipper;
(b) compress and dehydrate Dedicated Gas received into the Gathering System at the System Compressor Stations;
(c) deliver, or cause to be delivered, to or for the account of Shipper, at the nominated Delivery Point for Gas, Delivery Point Gas allocated to Shipper; and
(d) make available for delivery, to or for the account of Shipper, at each Delivery Point for Liquid Hydrocarbons, the Liquid Hydrocarbons received into the Gathering System or into Gatherer’s trucks and gathered to or delivered into storage tanks at such Delivery Point allocated to Shipper in accordance with Section 6.4.
Gatherer Service Commitment. Subject to and in accordance with the terms and conditions of this Agreement and the Tariff, including the prorationing provisions set forth thereunder, Gatherer commits to providing the following services (collectively, the “Services”) to Producer:
(a) construct and expand the Gathering System to connect the Gathering System to each Tank Battery that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Crude Oil and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3(b);
(b) provide, Maintain and operate Measurement Facilities at or downstream of the separator and production treater or atmospheric tankage at each Tank Battery;
(c) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Dedicated Crude Oil tendered by or on account of Producer;
(d) receive, or cause to be received, into the Gathering System, from or for the account of Producer, at each Receipt Point, all Crude Oil that is not Dedicated Crude Oil, if any;
(e) redeliver Crude Oil to or for the account of Producer at the Delivery Points; and
(f) provide, maintain and operate adequate pumps and equipment to create sufficient pressure in the Gathering System to transfer all Crude Oil received into the Gathering System, from or on account of Producer, from the Receipt Points to the applicable Delivery Points in accordance with this Agreement. Gatherer shall act as a Reasonable and Prudent Operator in performing the Services and any of its other obligations under this Agreement and the Tariff.

(a) construct and expand the Gathering System to connect the Gathering System to each Tank Battery that aggregates any Well or ▇▇▇▇▇ that is or are producing or will produce Dedicated Gas and with respect to which Producer has delivered a Connection Notice in accordance with Section 3.3;
(b) provide, maintain and operate Measurement Facilities at or downstream of the separator and production treater at each Tank Battery;
(c) receive, or cause to be received, into the Gathering System at each Receipt Point, all Dedicated Gas tendered at the Receipt Points;
(d) receive, or cause to be received, into the Gathering System at each Receipt Point, all Interruptible Gas, if any, to the extent not curtailed in accordance with Section 7.3(a);
(e) compress Gas received into the Gathering System at the System Compressor Stations and install, maintain and operate the System High Pressure Lines associated therewith; and
(f) redeliver Gas to or for the account of Producer at the Delivery Points. Gatherer shall act as a Reasonable and Prudent Operator in performing the Services and any of its other obligations under this Agreement.
