GB Interim Bank. General Bank shall cause GB Interim Bank to be --------------- duly organized and validly existing and authorized by all necessary corporate action and bank regulatory approvals to execute and consummate the Interim Merger Agreement. The Interim Merger Agreement will be, upon execution by GB Interim Bank, and Liberty Bank, a valid and binding agreement, enforceable against GB Interim Bank in accordance with its terms, subject to bankruptcy, insolvency, fraudulent transfer, moratorium and similar laws of general applicability relating to or affecting creditors' rights, and general equity principles.
