Gemini Contributed Assets. The Gemini Contributed Assets are all related to and used in connection with the business conducted by Gemini. No person other than Gemini owns any of the Assets or Properties used in connection with the business conducted by Gemini. The Gemini Contributed Assets constitute all of the Assets and Properties of Gemini used in connection with the business conducted by Gemini. Gemini, GBI and the Jayaramans do not have any direct or indirect interest in any business that directly or indirectly competes with the business conducted by Gemini.
