GENERAL AND INTERPRETATION. 16.1 The parties to this Agreement will give all such assistance to each other and provide all such information as shall reasonably be required for the purposes of this Agreement and will execute and do all such documents, acts and things as may be reasonably required in order to give effect to the terms of this Agreement. 16.2 The parties shall use reasonable endeavours to procure within their power that any necessary third party shall do and shall themselves execute and perform all such further deeds, documents, assurances, acts and things as any of them may reasonably require by notice in writing to give effect to the terms of this Agreement. 16.3 Any time, date or period mentioned in this Agreement may be extended by mutual agreement between the parties hereto but, as regards any time, date or period originally fixed or any time, date or period so extended, time shall be of the essence. 16.4 This Agreement shall be binding upon and enure for the benefit of the personal representatives and successors of the parties as the case may be. 16.5 No party shall be entitled to assign his or its rights under this Agreement without the prior written consent of each of the other parties. 16.6 This Agreement constitutes the entire and the only legally binding agreement between the parties relating to the Placing and no variations of this Agreement shall be effective unless made in writing signed by or on behalf of the parties and expressed to be such a variation.
