Common use of General Certifications Clause in Contracts

General Certifications. Borrower further certifies to Lender that: (a) the certifications, representations, calculations and statements herein will be true and correct as of the date hereof and on the Borrowing Date (if applicable); (b) all conditions and provisions of Section 6.2 and, if applicable, Section 6.1 of the Loan Agreement are as of the date hereof, and will be as of the Borrowing Date (if applicable), fully satisfied, including, without limitation, receipt by Lender of all fees, charges and expenses payable to Lender on or prior to such Borrowing Date pursuant to the Loan Documents; [(c) Borrower has paid all payroll taxes through the payroll period ended _________; (d) Borrower is in substantial compliance with all material regulatory provisions; (e) no Medicare or Medicaid recoupments and/or recoupments of any third-party payor in excess of the limits specified in the Loan Agreement are being sought, requested or claimed, or, to Borrower’s knowledge, threatened against Borrower or Borrower’s affiliates except the following amounts: Medicare _______; Medicaid _______; Third-Party Payor _______.
