General Commitments. (a) During the Agreement Effective Period, each Consenting Noteholder agrees, in respect of all of its Company Claims/Interests, to:
(i) support the Restructuring Transactions and vote and exercise any powers or rights available to it (including in any board, shareholders’, or creditors’ meeting or in any process requiring voting or approval to which they are legally entitled to participate) in each case in favor of any matter requiring approval to the extent necessary to implement the Restructuring Transactions;
(ii) use commercially reasonable efforts to cooperate with and assist the Company Parties in obtaining additional support for the Restructuring Transactions from the Company Parties’ other stakeholders;
(iii) use commercially reasonable efforts to oppose any party or person from taking any actions contemplated in Section 4.01(b);
(iv) use commercially reasonable efforts to give any notice, order, instruction, or direction to the applicable Trustees necessary to give effect to the Restructuring Transactions;
(v) consider in good faith any amendments to this Agreement proposed by the Company Parties that may assist in obtaining approval of or additional support for the Restructuring Transactions; and
(vi) negotiate in good faith and use commercially reasonable efforts to execute and implement the Definitive Documents that are materially consistent with this Agreement, the Restructuring Term Sheet, and the Restructuring Steps Plan, to which it is required to be a party.
(b) During the Agreement Effective Period, each Consenting Noteholder agrees, in respect of all of its Company Claims/Interests, that it shall not directly or indirectly, or direct or encourage any person to:
(i) object to, delay, impede, or take any other action to interfere with acceptance, implementation, or consummation of the Restructuring Transactions;
(ii) propose, file, support, or vote for any Alternative Restructuring Proposal;
(iii) file any motion, pleading, or other document with the Bankruptcy Court or any other court (including any modifications or amendments thereof) that, in whole or in part, is not materially consistent with this Agreement, any Implementation Mechanism or the Plan;
(iv) initiate, or have initiated on its behalf, any litigation or proceeding of any kind with respect to a UK Restructuring Plan, the Chapter 11 Cases, an Administration, this Agreement, a Shareholder Scheme, the Ancillary Proceedings, or the other Restructuring Transactions contemplated h...
General Commitments. The Recipient accepts and agrees to comply with all terms, provisions, conditions, and commitments of this Agreement, including all incorporated documents, and to fulfill all assurances, declarations, representations, and commitments made by the Recipient in its application, accompanying documents, and communications filed in support of its request for financial assistance and throughout the term of this Agreement.
General Commitments. 2.1 The Customer hereby certifies that, at the time of signing this Agreement, he/she has studied, understood and had explicit instructions on methods, procedures and modes of performing transactions at FPTS (Register in the “Customer Information and Services Registration Form” appended to this Agreement), understood all the risks that may occur in the process of using these services, voluntarily registered to use and will accept all losses and damage (if any) from using these services;
2.2 The Customer agrees that FPTS only notifies information with connection to the Transaction Account of the Customer by means of SMS message and/or email using telephone number and email address the Customer registers with FPTS. In the event of any change(s) to this information, the Customer must notify FPTS of such change(s);
2.3 The Customer must provide information as requested by FPTS and shall assume the responsibility for information provided for FPTS while fulfilling all obligations to FPTS when he/she executes securities transaction on his/her Transaction Account at FPTS;
2.4 By signing documents, materials, order slips and any other documents to request FPTS to perform transactions on his/her account at FPTS, the Customer implicitly admits having carefully considered before making any request to FPTS to execute transactions on his/her behalf. FPTS is solely responsible for the transactions as requested by the Customer without having to bear any responsibility for his/her securities transaction decisions;
2.5 When he/she authorizes other person(s) to execute transactions on his/her accounts at FPTS, the Customer implicitly admits having carefully considered and agrees to assume the final responsibility for any obligations that incur when the authorized person(s) performs in the scope of authorization;
2.6 The Customer is aware of risks that may occur in the event of executing securities transactions and shall accepts all losses and damage that may arise (if any);
2.7 The Customer agrees by default that FPTS will take service fees and charges according to FPTS’s Service Tariff from his/her Transaction Account;
2.8 The Customer agrees by default that FPTS will take a deduction on the Transaction Account of the Customer for credit items that not belong to the Customer because of human error, system failure or any other reason.
General Commitments. 7.1 The Supplier shall maintain suitable, qualified and competent employees to perform the agreed support and operation. The Supplier is to meet its obligations in a professional manner.
7.2 The Customer undertakes to cooperate with the Supplier and to provide the Supplier with the assistance necessary for the Supplier to meet its obligations under this Appendix, including, without limitation, providing the Supplier with access to the necessary information, assistance, tools and premises. In the event that the Supplier is prevented from or delayed in fulfilling its commitments due to circumstances attributable to the Customer, the Supplier shall not be deemed to have committed a breach of contract and no damages may be directed against the Supplier.
General Commitments. Partner agrees to use Program Labeling and outreach materials only in the manner specified in these Guidelines and only on or with reference to qualified models. Partner agrees not to imply that EPA endorses a particular model, product, service, or company. Partner also agrees not to use the EPA logo or seal in any manner. Partner also agrees not to misuse Program labeling and outreach materials, or misrepresent the Program or Partner’s model(s) qualified status under the Program. EPA may terminate the Partnership Agreement, including the authorization to use Program labeling, if Partner fails to act in accordance with the Agreement, which includes these Guidelines. EPA intends to provide any new or revised guidance on labels, hangtags, or outreach materials to Partner in draft, and to give Partner an opportunity to comment prior to the guidance being issued in final form. However, the final decision on the content of EPA documents will be made by the Agency.
General Commitments. The Contractor accepts and agrees to comply with all terms, provisions, conditions, and commitments of this contract, including all incorporated documents, and to fulfill all assurances, declarations, representations, and commitments made by the Contractor in its application, accompanying documents, and communications filed in support of its request for this Grant.
General Commitments. 6.1 The Customer agrees to authorize FPTS, on his/her behalf, to perform the transfer, withdrawal, blockade and release of assets in the Derivative Trading Account to make deposit, clearing payment, position loss payment, maturity payment, repayment to cash advance given by FPTS, interest, fee, tax and other financial obligations of the Customer to FPTS and/or to competent authorities.
6.2 The Customer confirms that he/she has been consulted and clearly explained by FPTS about risks that may arise from performing derivative trading and agrees to accept such risks. The customer also confirms that he/she has been explained and comprehended regulations and methods of derivative trading announced by FPTS.
6.3 The Customer assures FPTS that all information provided to FPTS is true and accurate in all aspects. The Customer is obliged to provide FPTS with his/her latest personal information and/or contact information. FPTS bears no responsibility if the Customer does not provide FPTS with any changes to his/her personal information and/or contact information in a timely manner.
6.4 The Customer agrees to allow FPTS to provide his/her personal information and transaction information to any competent authority in accordance with the Vietnamese law.
General Commitments. 1. Each Party shall endeavour to ensure that its environmental laws and policies provide for and encourage high levels of environmental protection and to continue to improve their respective levels of environmental.
2. The Parties shall not apply their environmental laws and regulations in a manner that constitutes a disguised restriction on trade or unjustifiable or arbitrary discrimination.
3. After the date of entry into force of this Agreement, neither Party shall cease to effectively enforce its environmental laws through any sustained or recurring course of action or inaction affecting trade or investment between the Parties.
4. The Parties recognise that each Party retains the right to exercise discretion and to make decisions with respect to
(a) Investigative, judicial, regulatory, and enforcement matters; and
(b) The allocation of resources for the enforcement of environmental laws to which has assigned a higher priority. Accordingly, a Party is in compliance with paragraph 3 if a course of action or inaction reflects the reasonable exercise of that discretion, or results from good faith decisions with respect to the allocation of resources in accordance with that Party's priorities for enforcement of its environmental laws.
5. Without prejudice to Article 17.2, the Parties recognize that it is inappropriate to promote trade or investment by weakening or reducing the protection provided for in their environmental legislation. Accordingly, neither Party shall repeal, or otherwise make without legal effect, or offer to derogate from, or otherwise render ineffective, its environmental legislation, in a way that weakens or reduces the protection afforded in its legislation, in order to encourage trade or investment between the Parties.
6. The Parties shall seek to cooperate on matters of mutual interest within the framework of the WTO Committee on Trade and Environment.
7. Nothing in this Chapter shall be construed to empower the authorities of a Party to conduct environmental enforcement activities in the territory of the other Party.

(b) faithfully and diligently performing the duties and exercising the powers consistent with the position that may be assigned to the employee by the Company;
(c) carrying out such duties that the Company considers are within the limits of his/her skill, competence and training.
(d) complying with all reasonable directions given to him/her by the Company;
(e) observing and complying with the provisions set out in any written policy, practice or procedure circulated by the Company;
(f) using his/her best endeavours to promote the interests of the Company;
